How designintro.co.uk operates

Individual members subscribe to designintro.co.uk to sell their goods through designintro.co.uk. When a consumer makes an order for goods via designintro.co.uk they enter into a contract for supply of those goods with the member. It is the responsibility of the member to supply and deliver the goods as described and within the timescale specified.
designintro.co.uk acts as the enabler of this transaction only. However in the event that that goods are not supplied in accordance with these terms & conditions ( or any reasonable variation of them) designintro.co.uk will on behalf of the member refund any payments made in respect of unfulfilled orders, subject to the terms & conditions below.
Members will receive payment for goods sold (less commission applicable) a maximum of 30 days after a sale is made (subject to the member confirming fulfillment of the order and the customer confirming acceptance of and satisfaction with the goods supplied)

TERMS & CONDITIONS OF MEMBERSHIP

Definitions
"designintro" means the organisation trading as designintro.co.uk. designintro.co.uk and designintro are trading names of Sawitfirst ltd, registered in England and Wales number 4349695
"member" or "members" means a person or body registered with designintro.co.uk to sell goods via designintro.co.uk
"Conditions" means the terms and conditions set out in this document and any special terms and conditions agreed in writing by designintro.co.uk.
"Delivery date" means the date specified by the member when the goods are to be delivered.
"Goods" means those goods specified - that is  products sold by a member through designintro.
"Consumer" shall have the meaning ascribed in section 12 Unfair Contract Terms Act 1977 and including any person, body or organisation or representive of any body or organisation who buys or agrees to buy the goods through designintro.co.uk.
"gross sales income" means the total price paid by a consumer for goods from any designintro sales transaction but not including delivery charge
"net sales income" means the income derived from any designintro sales transaction less commission
"commission" means the charge made by designintro for enabling the sales transaction. Commission will be charged as a percentage of gross sales (excluding delivery charge) at the prevailing published rate in these terms and conditions or any alternative rate agreed between the member and designintro.
"sales transaction" means the sale of goods from a designintro member to a consumer

Terms & conditions
When members join designintro members agree to the terms and conditions under which designintro operates.
When you join designintro.co.uk you warrant that you are resident in the UK, that you are accessing designintro.co.uk from the UK, that you are at least 18 years old and legally capable of entering into binding contracts and that you accept the terms and conditions described here.
All applications are subject to acceptance by designintro and designintro will confirm such acceptance to you via the internet or e-mail. If designintro are unable to accept your application, designintro will contact you via the internet, email, telephone or post to inform you.
Once your application has been accepted you become a member and subject to the terms and conditions under which designintro operates

designintro acts as an enabler, enabling members to sell direct to consumers.
Members contract of supply is direct with the consumer and all responsibilities under consumer legislation, common law and any other prevailing legislation remain with you as a member.
As a member you warrant that the goods you sell through designintro are of retail quality and meet all construction, health & safety and consumer rights requirments prevailing at the time of sale.
As a member you warrant that any and all liability arising from the sale of goods through designintro, including the subsequent use of those goods, will be borne by you and no liability shall pass to designintro.
As a member you accept the terms of trading with consumers laid down by and published by designintro and any reasonable variations as may be made from time to time and thus the consequences for your contract of supply with the consumer and your contract to pay commission to designintro.
All liabilities arising from the supply of goods remain with you as a member
Members are required to deliver goods to consumers within the delivery period specified (normally from stock unless otherwise explicitly stated in the product description and a maximum of 21 days from date of order) or designintro will be under no obligation to pay over net sales income from any such transaction.
Consumers statutory rights are unaffected and by joining designintro you accept your obligation to fulfill these statutory rights. Where those rights are excercised and a sales transaction is cancelled or affected members accept that designintro can retain all or part of gross sales income to enable those rights to be excercised (eg refunds or part refunds)
By joining designintro members accept the additional right of a 7 day return period of goods by consumers and accept that where these rights are excercised designintro can retain all or part of gross sales income to enable those rights to be excercised (eg refunds or part refunds).
As a member you warrant that your descriptions of your goods are honest, fair and accurate and where there is reasonable evidence this is not the case designintro reserves the right to cancel membership and retain gross sales income where required to meet obligations arising from any inaccuracy
As a member you confirm that you own the copyright of the images submitted and consent to their use in any media for the purposes of marketing and promotion of your products or profile or that of designintro.
As a member you warrant that your descriptions in your personal profile and any other representations you make in behalf of yourself or others are honest, fair and accurate and that where there is reasonable evidence this is not the case designintro reserves the right to cancel membership and retain gross sales income where required to meet obligations arising from any inaccuracy.
As a member you accept liability for all taxes (including VAT) arising from any transaction enabled by designintro or income arising from that transaction. The only exception is any tax or VAT payable on the commission payment to designintro which will remain the responsibilty of designintro
As a member you accept your liability to pay commission to designtro on any sales transaction which will be paid by virtue of you receiving net sales income (ie gross sales income less commission at rate set out in these terms & conditions) on any sales transaction from designintro

designintro warrants that provided the member has fulfilled all obligations under the contract of supply between the member and the consumer (including those under consumer legislation and any terms of trading established by designintro which can be varied from time to time as required) and that there are no liabilities or circumstances giving designintro cause to believe that the transaction has not been or will not be satifactorily completed then designintro will pay agreed net sales income (plus carriage as charged to the shopper) to the member within a maximum of 30 days from the date of sale of goods.

designintro.co.uk acts only as the enabler of transactions. In the event that that goods are not supplied in accordance with terms of trading (or any reasonable variation of them) designintro.co.uk will on behalf of the member refund to the consumer any payments made.
Where any such refund has been made or designintro has reasonable cause to believe may have to be made then no net sales income will be payable to the member
Where refunds are required to be made at a later date by virtue of a consumer excercising their consumer rights or any other rights bestowed on them by prevailing legislation or common law designintro reserves the right to recover part or all of net sales income paid to the member.
Where partial refunds are required to be made net sales income will be reduced by the amount of the refund made.

Commission rate
Commission wil be charged at the rate of 22% of the gross sales income for each item except for members joining in the launch period (before 31 December 2007) who will pay 20% for their first 12 months of sales.

Representations
No statement, description, warranty condition or recommendation contained in any catalogue, price list or advertisement or communication or made verbally by any of the Agents or Employees of designintro shall be construed to enlarge, vary or override in any way thereof any of these conditions
 
Law and jurisdiction
These terms and conditions shall be governed by English Law and any dispute, question or remedy howsoever arising determined exclusively by the English Courts.
